What is the biggest difference between general investment and illegal fundraising?

This is not determined by just one factor.

Genuine business investment can always exist:

High returns; high risk; multiple investors;

The company raised funds.

Therefore, it cannot be seen:

There are many investors.

They can simply assume that the banking law is valid.

Similarly, it cannot be seen:

"The pay is very high."

The criminal determination should be completed immediately.

Major cases typically require comprehensive investigation:

Do investors bear real business risks? Is the principal guaranteed to be returned? Are returns linked to operating results? Are funds invested in actual business operations? Do they have genuine shareholder rights? Do investors participate in or bear profits and losses?

And how the company will explain the plan to the outside world.

therefore:

Investment failure ≠ illegal fundraising.

but:

A well-written investment agreement does not necessarily mean it is not an illegal fundraising scheme.

6. Is "guaranteed principal" the most important evidence of illegal fundraising?

It may be very important.

However, the case cannot be narrowed down to:

"Did it mention guaranteeing the principal?"

For example, if the plan explicitly states:

The principal will be returned; fixed monthly returns will be paid.

Regardless of the company's profit or loss, payments are made on schedule.

This could certainly increase the risks associated with banking laws.

But we should still include:

Complete contract; briefing; business statement; LINE group; actual payment method; company operations;

Investor understanding

Let's check together.

Because what criminal cases really need to determine is:

Does the overall plan fall under Article 29-1 of the Banking Law?

7. What is meant by "a return that is clearly disproportionate to the principal"?

Article 29-1 of the Banking Act does not apply to:

"High pay"

Three words.

The legal text is:

Bonuses, interest, dividends or other compensation that are disproportionate to the principal.

therefore:

Interest

It does not necessarily mean that it is a crime.

There are dividends

It does not necessarily mean that it is a crime.

The real analysis to be done:

Principal; Rate of return; Payment frequency; Period; Market environment; Business risks; Principal arrangements; Actual investment model;

And whether the overall plan resembles the nature of absorbing social capital.

A legal judgment cannot be automatically made simply by taking an annualized percentage.

8. If you only collect money from friends and relatives, will there still be the problem of "the majority of people or unspecified people"?

Cannot be used alone:

"They're all friends."

That concludes the analysis.

For example, you might only have a few friends at the beginning.

But later:

Friends refer more friends; investors join LINE groups; business is continuously being recruited; referrers can earn commissions;

Anyone who meets the requirements can participate.

At this point, the actual fundraising scope may be completely different from the initial one.

Therefore, it should be sorted out:

How each fund provider knew the company; who introduced them; when they joined; the contract version; the amount invested; and the compensation terms.

Should I introduce other people?

The fundraising network itself is important evidence.

9. Why can't we only look at the total number of investors in the end when considering "the majority" and "unspecified people"?

Because of how many people ultimately remitted the money.

It's just a result.

The case still needs to be reviewed:

Fundraising process.

For example:

It was originally intended for one-on-one negotiations with a specific group of investors.

and:

We continue to raise funds through websites, information sessions, and public social media.

The factual structures are not the same.

Similarly,

If the business team can continue to expand outwards

This could also lead to different legal evaluations.

Therefore, a:

List of investor sources.

List:

Who introduced whom; when did they join; who recruited them; is there a commission?

Is there any public promotion?

10. The core of Article 29-1 of the Banking Act is raising funds from a large number of people or unspecified individuals under the guise of loans, investments, becoming a shareholder, or other pretexts, and promising or paying dividends, interest, or other returns that are clearly disproportionate to the principal. Whether the principal is guaranteed is an important fact, but it still needs to be determined based on the complete scheme.
</details><details>
If a company truly invests and operates, would it still violate banking laws?

Possibly. While genuine operations cannot be ruled out solely by the Banking Act, it is still necessary to confirm whether the fundraising model complies with Articles 29 and 29-1. However, the company's true operating model, the use of funds, and investor risks are all important pieces of evidence in the defense.
</details><details>
Does soliciting funds from only relatives and friends constitute illegal fundraising?

It needs to be determined on a case-by-case basis. The number of people involved, their relationships, the fundraising method, whether the company is expanding, and whether it is raising funds from a large number of people or unspecified individuals through referrals or other means should be confirmed.
</details><details>
If a salesperson only introduces an investment, could they be considered a co-principal offender under banking law?

One cannot judge solely based on the term "salesperson." Further analysis is needed to determine whether they were aware of the overall fundraising model, whether they were continuously recruiting, their commission structure, the number of people recruited, their financial involvement, and whether they shared a criminal intent.
</details><details>
What is the maximum sentence under Article 125 of the Banking Law?

The basic statutory penalty for violating Article 29, Paragraph 1 is imprisonment for a term of not less than three years but not more than ten years, and may also be subject to a fine of not less than NT$10 million but not more than NT$200 million. The law uses the term "property or property benefit obtained through crime," and the total amount raised, the total amount flowing into the account, or the total amount of transactions cannot all be treated as the same figure without legal analysis.
</details><details>
Can a confession to a banking crime during an investigation result in a reduced sentence?

Article 125-4 of the Banking Act provides for sentence reduction for confessions and voluntary surrender of all proceeds of crime during investigations that meet certain conditions.
